Terms of Service

These are the online Terms of Service (“Terms”) for the National Professional Anglers Association, Inc. (“NPAA,” “we,” “us,” or “our”), a not-for-profit organization. These Terms apply to your use of our websites, NPAA online account, mobile applications, and all other digital and online services provided by NPAA (collectively, the “Services”). They do not apply to third-party websites, applications, or services (including our affiliates’).

PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, OBLIGATIONS, AND AVAILABLE REMEDIES RESULTING FROM YOUR USE OF THE SERVICES. THIS AGREEMENT CONTAINS A BINDING ARBITRATION AGREEMENT WHICH LIMITS YOUR RIGHTS TO BRING AN ACTION IN COURT, BRING A CLASS ACTION, AND HAVE DISPUTES DECIDED BY A JUDGE OR JURY, AS WELL AS PROVISIONS THAT LIMIT OUR LIABILITY TO YOU.

1. Your Acceptance of the Terms

By accessing or using the Services, you agree to be bound by these Terms. You may use the Services only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations. If you do not agree to these Terms, you may not use the Services.

2. Privacy

3. Eligibility to Use the Services

The Services are intended for legal use by adults only and are not directed to children under the age of 16. By accessing or using the Services, you represent and warrant that you are at least 16 years of age and have the right, authority, and capacity to enter into this Agreement.

4. Your Representations & Warranties to NPAA

By using the Services, you represent, warrant, and agree that:
- You will use the Services for lawful purposes and not for fraudulent purposes.
- You will not impair the proper operation of the Services.
- You will not copy or distribute the Services or other content without written permission from NPAA.
- You will keep secure and confidential your account password or any identification provided to you.

5. Accounts & Registration

To use certain Services, you may be asked to register for a user account. By becoming a Registered User, you agree to provide accurate, current, and complete information and to maintain the security of your password. You are responsible for all use of your account.

6. User Conduct

You agree not to use the Services for any illegal purpose or for any purpose not reasonably intended by NPAA. Specifically, you will not:
- Use the Services for any illegal purpose.
- Harass or intimidate others.
- Post or transmit any content that is unlawful or objectionable.
- Use any automated means to access the Services without express permission.
- Interfere with the proper working of the Services.

7. Content & Licenses

- **Content Definitions:** 'Content' includes all text, graphics, images, photos, music, software, audio, video, information, and other materials.
- **Content Ownership:** All NPAA Content is owned by NPAA or its third-party licensors.
- **NPAA’s License to You:** NPAA grants you a limited, non-exclusive license to access and use the Services and Content as intended.
- **Your License to NPAA:** By posting User Content, you grant NPAA a perpetual, non-exclusive license to use your content.

8. Mobile Applications

Your use of a Mobile App is subject to additional terms from the app store provider. NPAA is solely responsible for the Mobile App and its content.

9. Copyright Policy

NPAA respects the Intellectual Property of others and will respond to legitimate claims of copyright infringement in accordance with the DMCA.

10. Intellectual Property

All NPAA Content is protected by copyright, trademark, and other laws. Unauthorized use of the Content is prohibited.

11. Linking & Framing

NPAA grants you a limited right to create a hyperlink to the Services, provided the link does not portray NPAA falsely or misleadingly. Framing or mirroring the Services is prohibited without written consent.

12. Consent to Communications

By using the Services, you consent to receive communications from NPAA electronically.

13. Termination

NPAA may terminate these Terms and your access to the Services at any time without notice if you breach these Terms. Upon termination, you must cease using the Services immediately.

14. Export Control

You agree to comply with all U.S. and foreign export laws and regulations related to the Services.

15. International Use

The Services are controlled and operated from the United States. NPAA makes no representations that the Services are appropriate or available for use in other locations.

16. Indemnity

You agree to indemnify and hold NPAA harmless from any claims arising out of your use of the Services or violation of these Terms.

17. Warranty Disclaimers

The Services are provided 'as is' without warranty of any kind. NPAA disclaims all warranties, whether express or implied.

18. Limitation of Liability

NPAA will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

19. Arbitration Agreement

Any disputes arising out of these Terms will be resolved through binding arbitration in the U.S. state of Wisconsin.

20. General Terms

These Terms constitute the entire agreement between you and NPAA. If any provision is held invalid, the remaining provisions will remain in full force and effect.

21. Changes to Our Terms

NPAA may modify these Terms from time to time. The most current version of these Terms will govern your use of the Services and will be located at https://www.npaa.net/terms-conditions.  By continuing to use the Services, you agree to be bound by the revised Terms.
